Terms of Service

These Terms of Service ("Terms") govern access to and use of the ZecoCM construction management platform, including the marketing website at zecocm.com, the application at app.zecocm.com, and any related mobile or desktop applications (together, the "Service"), provided by Zeco Inc. ("ZecoCM," "we," "us," or "our"). By creating an account, signing an order form, or otherwise using the Service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent ("Customer" or "you").

Order of precedence. If your organization has signed a separate order form, procurement contract, or purchase order with ZecoCM, that document governs to the extent it conflicts with these Terms — including for public-agency Customers subject to procurement requirements that these Terms do not attempt to override.

1. The Service

ZecoCM connects pay applications, change orders, RFIs, submittals, notices, contract clocks, daily reports, document management, and project closeout in one governed project record, with TRACE, an AI assistant that answers from project evidence the requesting user is authorized to read, cites what supports its conclusions, and refuses to answer rather than guess when the record cannot support a conclusion. The Service is provided in subscription tiers described at zecocm.com/#pricing, which may be updated from time to time.

2. Eligibility & accounts

The Service is intended for business and professional use by construction contractors, public agencies, construction managers, and related organizations, and is not directed to consumers. You must be at least 18 years old and authorized to bind your organization to these Terms. You are responsible for maintaining the confidentiality of account credentials and for all activity under your account. Platform staff (ZecoCM employees) never request or need your password — sign-ins are always performed directly by the account holder.

3. Subscription & payment

Paid tiers are billed as described at signup or in your order form (for example, per-seat monthly, or annually per project or program). Fees are billed in advance and, except as required by law or as your order form states otherwise, are non-refundable. We may change our published pricing prospectively; changes will not apply to an active subscription term already in progress. Online payments for your ZecoCM subscription are processed only through ZecoCM's secured web application over an encrypted connection — never through a desktop or offline application. You are responsible for any taxes applicable to your subscription.

As between you and ZecoCM, your organization retains all right, title, and interest in the project records, documents, and other content your organization and its authorized users submit to the Service ("Customer Data"). You grant ZecoCM a limited license to host, process, and display Customer Data solely to provide, secure, and support the Service. ZecoCM does not claim ownership of Customer Data and will not use it to train third-party general-purpose AI models. You are solely responsible for having the necessary rights and authorizations to submit Customer Data, including any personal information about project personnel it may contain.

6. TRACE and AI-generated output

TRACE is an AI-assisted project tool, not a substitute for professional, contractual, or legal judgment. Every substantive TRACE suggestion is required to cite the evidence supporting it; where the evidence is insufficient, contradictory, or outside the applicable authority, TRACE is designed to say so rather than guess. You remain responsible for verifying any AI-assisted suggestion against the cited governing source before relying on it for a material decision.

7. Our intellectual property

The Service, including its software, design, TRACE integration, and documentation (but excluding Customer Data), is owned by ZecoCM or its licensors and protected by copyright, trademark, and other intellectual property laws. See our Copyright page for details. These Terms do not grant you any right to use ZecoCM's trademarks without our prior written consent.

8. Third-party services

The Service relies on third-party infrastructure, including cloud hosting and AI processing providers, under contracts that restrict those providers' use of your data to providing services to us. The Service is also built in part on open-source software components, each governed by its own license; see the Copyright page.

9. Term, suspension & termination

These Terms apply for as long as you use the Service. We may suspend or terminate access for material breach of these Terms, non-payment, or conduct that risks harm to the Service or other Customers, generally with notice and an opportunity to cure where practical. You may stop using the Service, or terminate a paid subscription, as described in your order form. Upon termination, you may export Customer Data using the Service's export/verification package feature for a reasonable period before deletion, except where law or a signed agreement requires longer retention.

10. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, ZecoCM disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that TRACE's output will be complete or free of error. Nothing in the Service is legal, financial, or professional advice.

Sections 11 and 12 below use standard SaaS liability and indemnification language. Because ZecoCM serves public-works contracts with their own statutory and procurement requirements, we recommend these two sections specifically be reviewed by a licensed attorney against your actual customer agreements before this page is relied upon as final.

11. Limitation of liability

To the maximum extent permitted by law, ZecoCM will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data, arising from or relating to the Service, even if advised of the possibility of such damages. ZecoCM's total liability arising from or relating to the Service will not exceed the amount you paid ZecoCM for the Service in the twelve months preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

12. Indemnification

You will defend and indemnify ZecoCM against third-party claims arising from your breach of these Terms or your misuse of the Service, and ZecoCM will defend and indemnify you against third-party claims that the Service, as provided by us, infringes that third party's intellectual property rights, in each case subject to prompt notice and cooperation in the defense.

13. Governing law & disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles, and the parties consent to the exclusive jurisdiction of the state and federal courts located in California for any dispute not resolved informally, except where a Customer's mandatory local consumer-protection law requires otherwise. Before filing a claim, the parties agree to attempt in good faith to resolve the dispute informally by contacting the other party in writing.

14. Changes to these Terms

We may update these Terms from time to time. We will post the revised version here with an updated effective date, and for material changes, we will provide additional notice to account administrators. Continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.
